Application Certificate of Authority • Foreign Qualification
Your Corporation or LLC is incorporated in your home (domestic) state and your entity is authorized to transact business in that state… The question becomes what do you do if you wish to expand your business activities beyond the boundaries of your home state?...
If you do business in another state it is important to make sure you abide by the rules of the state you wish to expand to. All states require an entity that conducts business within their state to be registered. Each state has a slightly different set of guidelines and criteria as to what "conducting business in the state" is... Most state include (but are not limited to) the following:
• Operating at a physical location such as a store or warehouse within the state
• Employing a resident who works within the state
• Opening up a bank account or getting a business license within the state
Refer to your state link below to confirm the exact criteria for the state you are interested in.
To obtain authorization to do business in another state is not difficult - you must apply for a Certificate of Authority or some states refer to is as a Foreign Qualification (Your company is the "Foreign Entity" that must be qualified or be given authority to do business in that state)
The process is streamlined version similar to being incorporated in your home state – you complete and submit the required application form (See links to specific states below), include proof of your home states entity formation and good standing - As part of the foreign qualification process usually you are required to obtain certificate of good standing from your home state Secretary of State (We can provide you with that on a next day basis) and submit it with your application and the state application fee.
