Certificate of Subsistence, Pennsylvania Certificate of Good Standing
The Pennsylvania Good Standing Certificate (Officially referred to as the Pennsylvania Certificate of Subsistence or Statement of Registration for Foreign out of State registered corporations) is the official document sealed and issued by the Secretary of Commonwealth of Pennsylvania.
The Certificate of Good Standing will state that your company “is duly incorporated as a Pennsylvania Corporation under the laws of the Commonwealth of Pennsylvania and remains a subsisting corporation so far as the records of this office show, as of the date herein.” and will include the laser printed State seal as well as a certification code that can be verified at their State website.
The Office of the Pennsylvania Secretary of State will issue a Certificate of Good Standing to any domestic or foreign profit, nonprofit corporation or LLC/LLP that was duly registered or formed within the State of Pennsylvania and has met the following requirements. The certificate will have the printed seal as pictured to the left and a State issued authenticity code that can be confirmed at the Secretary of States official website.
Requirements to be eligible for a Certificate of Good Standing:
• Your entity must be incorporated within the State as a Corporation, LLC or LLP
• You must have filed all annual reporting as required by your State
• Your entity must have paid all State mandated fees and taxes in a timely fashion
