The Texas Certificate of Fact (Also referred to as the "Texas Certificate of Good Standing" or Texas Certificate of Existence) is an official document issued by the Texas Secretary. The State issues a Certificate of Fact that the status of the legal entity is existent within the State of Texas and is compliance with all state required formalities.
Upon application to the Texas Secretary of State a Certificate of Fact will be granted to any domestic or foreign profit and nonprofit corporation, limited liability company that was duly registered or formed within the State of Texas and is in good standing.
Requirements to be eligible for a Certificate of Good Standing: • Your entity must be registered within your State as a Corporation, LLC or LLP
• You must have filed all annual reporting as required by your State
• Your entity must have paid all State mandated fees and taxes in a timely fashion
